Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are a contract between you and Lido Nation Foundation Inc. (“Qaoki”, “we”, “us”) and govern your use of the Qaoki apps (iOS, Android, and web) and www.qaoki.app (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

2. Eligibility

You must be at least 18 to use the Service, and old enough to form a binding contract where you live. Some venues and events may be restricted to adults (18+). If you use the Service on behalf of a venue or organization, you represent that you’re authorized to bind it to these Terms.

3. Your account

Provide accurate information and keep it current. You’re responsible for activity under your account and for keeping your credentials secure. Tell us promptly at [email protected] if you suspect unauthorized use. One person, one account, unless we agree otherwise.

4. The Service

Qaoki provides a real-time karaoke experience — a shared song queue per room, lyrics synced to the screen, a cheers economy, Stars leaderboards, and tools for venues, DJs, and hosts to run the night. Features may change, and parts of the Service may be unavailable from time to time. We may add, modify, or remove features at our discretion.

5. Community conduct and acceptable use

You agree not to:

  • Harass, threaten, demean, or discriminate against others.
  • Post or perform content that is illegal, hateful, infringing, or that you don’t have the rights to.
  • Record or share someone’s performance without respecting their recording-consent setting and the venue’s rules.
  • Disrupt queues, events, or other users, or interfere with the operation of a venue.
  • Cheat the queue or cheers systems, scrape data, reverse engineer, or attempt to bypass security or access controls.

We may remove content and suspend or terminate accounts that violate these Terms.

6. Your content

You keep ownership of the content you submit (profile details, feed posts, messages, and performances). You grant Qaoki a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content as needed to operate and provide the Service (for example, showing your queue entry to the room or your post to an event feed). You’re responsible for your content and must have the rights to share it.

7. Recordings and likeness

Whether your performances may be recorded or shared is governed by your recording-consent / “do not film” setting and the venue’s policies. Where you have given consent, you grant the venue and Qaoki a limited license to capture and use those recordings as described in the app. You can change your consent setting at any time, and it applies going forward.

8. Cheers and virtual items

“Cheers” and similar in-app items are a virtual feature of the Service. They have no monetary value, are not currency, are not redeemable for cash or goods, and are non-transferable except as the Service expressly allows. We may grant, adjust, expire, or revoke cheers and related balances, and may change how the cheers economy works. Cheers given to performers or venues are not refundable.

9. Karaoke content and third-party media

Songs and lyrics are provided through third-party sources such as YouTube (for MVP) or licensed catalogs. You must have the necessary rights for any content you add. Paid karaoke, where offered, uses licensed sources. Your use of third-party media is also subject to those providers’ terms.

10. Venues and hosts

If you operate a venue or act as a DJ, host, manager, or owner, additional responsibilities apply. You are responsible for your events, your team, your patrons’ experience, and for complying with all applicable laws — including licensing, venue, recording, and consumer-protection requirements. You agree to honor users’ recording-consent settings at your events.

11. SMS and text messaging

If you provide your mobile number and opt in, Qaoki may send you text (SMS/MMS) messages as part of one or more messaging programs. By opting in you agree to this section.

  • Program description. Messages are transactional only and relate to your use of the Service — specifically one-time passcodes for account sign-in and verification, and venue check-in verification codes. We do not send marketing or promotional text messages.
  • Consent. We only send messages to numbers that have opted in, and message consent is not a condition of purchase. You confirm you are the subscriber or authorized user of the number you provide.
  • Message frequency. Message frequency varies based on your activity and settings.
  • Cost. Message and data rates may apply. Your mobile carrier’s rates apply to each message, according to your plan.
  • Help. For help, reply HELP to any message or email [email protected].
  • Opt out. You can cancel at any time by replying STOP to any message. After you text STOP, we will send a one-time confirmation and then stop sending messages from that program; you may continue to receive transactional messages where permitted by law, and you can opt back in by texting START.
  • Carriers. Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your carrier and is not guaranteed.
  • Privacy. Mobile information is handled as described in our Privacy Policy and is not shared or sold to third parties or affiliates for their marketing purposes.
  • Supported carriers and changes. Supported carriers may change, and we are not liable for any resulting failure to deliver a message. We may modify or discontinue any messaging program at any time.

12. Payments

The Service may offer paid features in the future. When it does, the applicable prices, billing terms, and refund policy will be presented at purchase. Except where required by law, payments are non-refundable. Payments are processed by a third-party processor, and you agree to its terms.

13. Intellectual property

The Service, including the Qaoki name, logo, software, and design, is owned by Qaoki and protected by intellectual-property laws. These Terms don’t grant you any right to our trademarks or branding without our prior written permission.

14. Third-party services

The Service integrates third parties (including Google and Apple sign-in and YouTube). We’re not responsible for third-party services, and your use of them is governed by their own terms and policies.

15. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We don’t warrant that the Service will be uninterrupted, error-free, or secure.

16. Limitation of liability

To the maximum extent permitted by law, Qaoki and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.

17. Indemnification

You agree to indemnify and hold harmless Qaoki from claims, damages, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, or your violation of these Terms or the rights of others.

18. Termination and deleting your account

You may stop using the Service and close your account at any time. You can request that your account be closed and your data deleted in either of two ways:

  • In the app. Open Edit profile in your profile settings and choose to close and delete your account.
  • By email. Email us at [email protected] and ask us to close your account and delete your data.

When you close your account, we delete or anonymize your personal data as described in our Privacy Policy, except where we must retain certain records to comply with legal obligations, resolve disputes, or enforce our agreements. We may also suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination will survive.

19. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. The courts located in Wyoming, United States will have exclusive jurisdiction over any disputes, unless applicable law requires otherwise.

20. Changes to these terms

We may update these Terms. We’ll revise the “Last updated” date above and, for material changes, provide a more prominent notice. Continuing to use the Service after changes take effect means you accept the updated Terms.
